Terms of Service

These Terms of Service govern your use of assistoperators.com and any services purchased from Assist Operators. By using the site or purchasing services, you agree to these terms. A signed proposal, statement of work, order, or other written agreement may add to or modify these terms. If there is a conflict, the signed agreement controls for that engagement.
Business services
Assist Operators provides commercial, operating, advisory, execution, and website services for businesses. Site content is general information and is not legal, tax, accounting, or investment advice. Submitting an application or scheduling a call does not create an engagement. An engagement begins only after scope, timing, and fees are accepted in writing and any required payment is received.
Subscription engagements
Monthly plans are billed in advance and renew automatically each month until canceled. The minimum engagement is one month. You may cancel before the next renewal date. Payments are non-refundable after billing, and service continues through the paid period.
Dedicated hours may include meetings, preparation, research, administration, retailer or distributor onboarding, coordination, documentation, communication, and agreed execution. Unused hours expire at the end of each billing period and do not roll over or have cash value.
When the available time is close to being used, we will discuss whether to pause, reprioritize, approve an additional block of work, or move to a better-fit plan. Additional work is not performed or billed without approval.
Client responsibilities
You agree to provide timely, accurate information, access, decisions, approvals, and materials reasonably needed to perform the work. You are responsible for the accuracy and legality of your products, claims, content, data, and business practices. Delays in client inputs may affect timing and outcomes.
Communication and response time
We aim to acknowledge client messages within one business day. Delivery timing depends on scope, priority, required approvals, and third-party dependencies.
Confidentiality
Each party will use reasonable care to protect confidential information received from the other and will use it only for the engagement. Confidentiality does not apply to information that is public through no breach, already known without restriction, independently developed, or lawfully received from another source.
Intellectual property
Each party retains ownership of materials, methods, tools, templates, trademarks, and intellectual property it owned before the engagement. Unless a written agreement says otherwise, final client-specific deliverables transfer to the client after full payment. Assist Operators retains ownership of general know-how, methods, reusable systems, and non-client-specific tools.
Third-party services
Our work may rely on services provided by Shopify, Google, Notion, software vendors, retailers, distributors, advertising platforms, and other third parties. Their availability, rules, fees, and performance are outside our control. You are responsible for third-party accounts, licenses, fees, and compliance unless a written agreement says otherwise.
No guaranteed results
We provide professional judgment and reasonable care, but business results depend on many factors outside our control. We do not guarantee revenue, distribution, retailer acceptance, traffic, conversion, financing, or any other specific outcome.
Limitation of liability
To the fullest extent permitted by law, Assist Operators will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities. Our total liability arising from an engagement will not exceed the fees paid to Assist Operators for the services giving rise to the claim during the three months before the event that created the claim.
Termination
Either party may end an engagement as permitted by the applicable proposal or subscription policy. We may suspend or end services for nonpayment, unlawful conduct, abuse, material breach, or conduct that creates an unreasonable risk. Amounts already earned or billed remain due.
Governing law
These terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules. The parties will first try in good faith to resolve any dispute directly.
