Website Project Terms

These Website Project Terms apply to website strategy, design, development, migration, and related services provided by Assist Operators. They are incorporated into the accepted proposal or statement of work for each project. If a signed agreement conflicts with these terms, the signed agreement controls.

Scope and deliverables

The project scope, platform, pages, features, deliverables, fees, milestones, and estimated timing will be defined in a written proposal or statement of work. Items not expressly included are outside scope.

Client materials and access

The client will provide accurate content, product information, brand assets, photography, legal copy, account access, credentials, approvals, and other materials needed for the project. The client represents that it has the right to use all materials it provides.

Timing and approvals

Project schedules depend on timely client feedback, materials, access, and decisions. Delays in these inputs may move delivery dates. A deliverable is considered approved when the client approves it in writing or uses it publicly.

Fees and payment

Deposits, milestone payments, final payments, and any recurring maintenance fees are set in the proposal. Invoices and checkout payments are due as stated. Assist Operators may pause work when a payment is late. Final files, launch, or ownership transfer may be withheld until all amounts due are paid.

Revisions and changes

The proposal will state the included revision process. Requests that change approved direction, add pages or functionality, require substantial rework, or fall outside scope may require a change order, additional fee, or revised timeline. Additional work begins only after approval.

Platforms, licenses, and third-party costs

The client is responsible for platform subscriptions, domains, themes, apps, plugins, stock assets, fonts, email services, hosting, and other third-party fees unless the proposal says otherwise. Third-party products are governed by their own terms and may change or stop working outside our control.

Ownership

The client owns final client-specific deliverables after full payment. Assist Operators retains ownership of pre-existing materials, general methods, reusable components, frameworks, templates, and know-how. Third-party assets remain subject to their applicable licenses.

Content, claims, and legal compliance

The client is responsible for final content, product claims, offers, pricing, privacy disclosures, accessibility obligations, industry requirements, and legal compliance. Assist Operators may provide general best-practice guidance but does not provide legal advice.

Testing and launch

We will test the agreed functionality in current versions of major browsers and common screen sizes. The client will have an opportunity to review the site before launch. Launch approval confirms acceptance of the site as presented, subject to any written punch-list items.

Post-launch support and maintenance

Unless the proposal says otherwise, the project includes a 14-day post-launch period to correct defects in the delivered work. New requests, content changes, third-party changes, platform updates, and ongoing maintenance are not defects and may require a separate maintenance plan or additional fee.

Cancellation and suspension

If a project is canceled, the client is responsible for work completed, approved third-party costs, and any non-cancelable commitments through the cancellation date. Deposits are non-refundable unless the proposal says otherwise. We may suspend work for nonpayment, extended inactivity, unlawful content, abuse, or material breach.

Confidentiality and publicity

Each party will protect the other party's confidential information and use it only for the project. Assist Operators will not use the client's name, logo, or project as a public case study without permission.

Warranty and limitation of liability

We will perform services with reasonable professional care. We do not guarantee uninterrupted service, specific traffic, rankings, leads, sales, or revenue. To the fullest extent permitted by law, Assist Operators will not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability for a website project will not exceed the fees paid to Assist Operators for that project.

Governing law and contact

These terms are governed by the laws of the Commonwealth of Massachusetts. The parties will first try in good faith to resolve any dispute directly. Questions may be sent to sean@assistoperators.com.
